This Position
-    Legal Counsel with a focus on Terminals, Smart Services and Renewable Energies Product Lines 
-    Part of the department: Legal New Energies & Services
-    Liaises internally with: Legal Counsels, Contract Managers, Compliance Officers, Insurance Tax & Financial Counsels, Project Managers, Managing Directors, Product Line Directors & Sales Managers

RESPONSIBILITIES AND MAIN TASKS

• Providing accurate, relevant, and timely advice to SBM on a variety of legal topics in support of the New Energies & Services (NES) business line and its products and services, especially in relation to SBM’s jetty-less mooring systems (Catenary Anchor Leg Mooring – CALM, or Single Point Mooring)
• Drafting, reviewing, and negotiating various commercial contracts and agreements, utilizing both standard templates utilized by SBM, such as MOUs, Consortium Agreements and the like prepared by its Corporate function, but also develop NES specific documentation;
• Draft, review and negotiate  EPC(I)’s, major subcontracts that are not covered by GRS/Supply Chain management LCCI team, as well as Service Agreements, Purchase Orders and the like
• Assessing, proposing (and where appropriate) ensuring and managing, adequate mitigation of legal risks to the NES business line.
• Managing and prioritizing tasks to meet deadlines from the NES business line, often at short notice.
• Ensuring compliance with all laws and regulations that apply to the business.
• Promoting legal, compliance and risk management best practice throughout the company.
• Communicating with and managing certain third-parties such as external counsel and/or auditors in line with SBM legal services procurement processes (providing feedback on legal panel performance).
• Staying up to date with changes to legislation and case law, particularly in relation to laws, rules and regulations that directly affect the NES business line.
• Providing input on and/or proposing adequate legal tools/contractual set-ups to serve SBM’s primary business goals.
• Designing and delivering legal training to the business as needed in line with SBM Training Calendar initiatives.
• Liaising with the business leaders and support functions.
• Reporting and updating LCCI Leadership Team, head of Legal for NES and Product Line Directors on key legal issues and risks, including lessons learnt and improvement areas for the business.

JOB REQUIREMENTS:

EDUCATION: 

• Law degree common law, or civil law with sound common law working experience
• Fluent in English (spoken and written) (Dutch, French and Portuguese language skills are a plus)

EXPERIENCE: 

• A minimum of 5 years PQE as in-house lawyer or in private practice a must
• Experience in renewable energy or major projects construction and installation, particularly on developer or financier side desirable
• Experience of working in emerging markets
