RESPONSIBILITIES AND MAIN TASKS

  • Developing a deep knowledge and understanding of SBM’s debt & equity financing structures for FPSO’s (including sale & leaseback structures)
  • Analyzing and understanding the US bond market (regulation S & 144A)
  • Working closely with the business as trusted advisor and deal team member in order to close innovative financial transactions, JV structures, restructurings, M&A transactions, liquidity instruments etc
  • Providing pro-active, accurate, relevant and timely advice to different stakeholders within SBM on a variety of legal finance related topics in support of all business lines, especially in relation to SBM’s Corporate Finance & Strategic Finance business lines
  • Regarding contract negotiations: being the point person for external law firms in multiple jurisdictions (Japan, Switzerland, US, UK, France, Netherlands, Brazil, Guyana, Surinam, Namibia, Malaysia, China)
  • Drafting, reviewing and negotiating various financial agreements: LMA based loan documents, shareholder loans, shareholder agreements, various cp’s, security docs, NDA’s, derivatives, SPA’s
  • Reporting and updating LCCI Leadership Team on key legal issues and risks, including lessons learnt and improvement areas for the business

 

 

JOB REQUIREMENTS:

 

EDUCATION:

  • Law degree common law, or civil law with sound common law working experience
  • Fluent in English (spoken and written) is a must. Dutch, French or Portuguese language skills are a plus.

 

EXPERIENCE:

  • A minimum of 3 years’ experience as in-house legal counsel within financial institution and/or in private practice is a must
  • Proven track record in debt and/or equity financing
  • Experience of working in a commercial environment
  • Preferably experience in energy / energy transition / renewables
  • Some experience of closing transactions in a team of professionals
