RESPONSIBILITIES 

  • Providing accurate, relevant, and timely advice to SBM on a variety of legal topics in support of the GR&S, FPS and Operations business lines in respect of contracts for installation (of FPSOs, FSOs), transportation, logistics and other related contracts
  • Drafting, reviewing, and negotiating various commercial contracts and agreements, utilizing both standard templates utilized by SBM and industry standard contracts (in particular BIMCO), such as installation contracts, charterparties, transportation, logistics, framework agreements, Memoranda of Agreements (MoAs), Memoranda of Understandings (MOUs), confidentiality agreements
  • Draft, develop and update SBM’s suite of standard contract templates for installation, transportation and logistics’ scopes
  • Provide legal support and advice in relation to the operation of the Normand Installer, SBM’s multi-functional anchor handling and offshore construction vessel. including negotiating framework agreements, subcontracts, charterparties and claims 
  • Assessing, proposing (and where appropriate) ensuring and managing, adequate mitigation of legal risks to the GR&S business line in relation to installation, transport and logistics contracts.
  • Managing and prioritizing tasks to meet deadlines from the GR&S and Installation business line, often at short notice.
  • Ensuring compliance with all laws and regulations that apply to the business.
  • Promoting legal, compliance and risk management best practice throughout the company.
  • Communicating with and managing certain third-parties such as external counsel, ship brokers, experts and/or auditors in line with SBM legal services procurement processes (providing feedback on legal panel performance).
  • Staying up to date with changes to legislation and case law, particularly in relation to laws, rules and regulations that directly affect installation, transportation and logistics.
  • Providing input on and/or proposing adequate legal tools/contractual set-ups to serve SBM’s primary business goals.
  • Designing and delivering legal training to the business as needed in line with SBM Training Calendar initiatives.
  • Liaising with the business leaders and support functions.
  • Reporting and updating LCCI Leadership Team, head of Legal for GR&S, head of Legal for FPS and Product Line Directors on key legal issues and risks, including lessons learnt and improvement areas for the business.


JOB REQUIREMENTS:

EDUCATION: 

  • Law degree common law, or civil law with sound common law working experience
  • Fluent in English (spoken and written) (Dutch, French and Portuguese language skills are a plus)

EXPERIENCE: 

  • A minimum of 3 years PQE as in-house lawyer or in private practice a must 
  • Experience in marine transportation, offshore support vessels and logistics 
  • Experience of drafting, negotiating and advising on BIMCO contracts (in particular SUPPLYTIME, TOWCON, TOWHIRE, HEAVYCON, HEAVYLIFTVOY, CONLINEBOOKING) 
  • Understanding of marine insurance, including P&I insurance
  • Fluent in English (spoken and written) (Dutch, French and Portuguese language skills are a plus)
